Terms of Service

1. Introduction
These Terms of Service (“Terms”) govern access to and use of OneSimpleInbox, including our websites, applications, dashboards, messaging tools, contact management tools, automation features, AI-assisted features, integrations, APIs, documentation, and related services (collectively, the “Service”). By accessing or using OneSimpleInbox, you (“you,” “Customer,” or “User”) agree to these Terms. If you do not agree, do not use the Service.
2. Description of Service
OneSimpleInbox provides unified communication tooling that may include:
- Contact management and contact source tracking
- Email and SMS communication
- Message and event tracking, and deliverability visibility
- Opt-in / opt-out and unsubscribe management
- Suppression workflows
- Unified inbox and conversation threading
- Campaign-style communications and automation
- AI-assisted messaging and indicators
- Provider integrations (e.g., Twilio, SendGrid, SMTP, OpenAI, Anthropic/Claude, and others)
OneSimpleInbox is provided by Cedric Britton LLC. The Service is offered on an “as is” and “as available” basis as further described below.
3. Eligibility and Authority
You represent and warrant that you:
- Are legally able to enter into a binding agreement;
- Are authorized to act on behalf of any business or organization you represent; and
- Will use OneSimpleInbox only for lawful, authorized, consent-based purposes.
4. Account Registration and Security
You are responsible for:
- Accurate account information;
- Password and credential protection;
- Team and user access you grant;
- API keys and connected accounts; and
- All activity occurring under your account.
OneSimpleInbox is not liable for unauthorized access or loss arising from your failure to secure credentials, devices, API keys, or connected provider accounts.
5. Customer Data Ownership
As between the parties, you retain ownership of your uploaded contacts, message content, conversation history, contact metadata, campaign data, and files or notes you upload (“Customer Data”). You grant OneSimpleInbox a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, troubleshoot, monitor for abuse, and improve the Service.
6. Customer Responsibility for Consent and Compliance
You are solely responsible for ensuring you have proper consent, authorization, and a lawful basis to contact recipients by SMS, email, AI-assisted reply, automation, or any other channel. You are responsible for compliance with all applicable laws, regulations, carrier rules, and provider terms, which may include, where applicable:
- TCPA (Telephone Consumer Protection Act)
- CAN-SPAM Act
- CTIA messaging principles and best practices
- A2P 10DLC registration and requirements
- Carrier, aggregator, and messaging provider rules
- Email provider and anti-spam rules
- Applicable privacy laws and do-not-call / do-not-contact rules
- All applicable platform and provider terms of service
OneSimpleInbox may provide tools that assist with compliance, but does not guarantee compliance and does not replace legal counsel.
7. SMS Compliance
- You must obtain valid consent before sending SMS.
- You must honor STOP, opt-out, unsubscribe, and do-not-contact signals.
- You must not bypass suppressions or re-message contacts who opted out.
- You must not send prohibited or restricted content.
- You must comply with carrier, aggregator, and provider rules.
- You acknowledge that messages may be blocked, filtered, throttled, delayed, rejected, or restricted.
OneSimpleInbox makes no guarantee regarding SMS delivery, carrier approval, A2P 10DLC approval, throughput, sender reputation, or avoidance of filtering.
8. Email Compliance
- You must only email recipients you are legally permitted to email.
- You must use accurate sender identity and must not use deceptive subject lines.
- You must honor unsubscribe requests.
- You must not send spam, phishing, malware, fraudulent, or deceptive content.
OneSimpleInbox makes no guarantee regarding email delivery, inbox placement, avoidance of spam folders, avoidance of blocking/throttling/filtering, or domain reputation improvement.
9. Contact Lists
You represent and warrant that your contact lists are lawfully obtained. You must not:
- Use scraped or stolen lists;
- Use purchased or rented lists without valid, applicable consent and rights;
- Re-upload suppressed contacts to evade opt-outs; or
- Message individuals who have withdrawn consent.
10. Opt-Outs, Suppressions, and Unsubscribes
OneSimpleInbox may provide suppression, unsubscribe, and opt-out tools, but you remain responsible for correctly configuring, monitoring, and honoring them. OneSimpleInbox may restrict sending or suppress contacts if it detects risk, abuse, repeated delivery failure, or compliance concerns.
11. AI-Assisted Features
- AI features may generate drafts, suggestions, responses, summaries, classifications, or automation assistance.
- AI output may be inaccurate, incomplete, biased, inappropriate, or non-compliant.
- You are responsible for reviewing AI output before sending unless you knowingly enable auto-response features.
- You are responsible for all AI-assisted messages sent through your account.
- AI does not provide legal, financial, medical, compliance, pastoral, religious, or other professional advice.
- OneSimpleInbox may log AI-generated drafts and messages.
- Contacts may be opted out of AI-assisted communication where supported.
- You must not use AI features for harmful, deceptive, illegal, discriminatory, abusive, or manipulative communication.
12. Third-Party Services and Integrations
OneSimpleInbox may connect with third-party services, including SMS providers, email providers, AI providers, hosting and database providers, payment processors, analytics tools, and webhook/API services. OneSimpleInbox is not responsible for:
- Third-party outages, API failures, price changes, or policy changes;
- Provider suspensions, message filtering, or delivery failures;
- Data handling by third-party services; or
- Integration errors caused by your credentials or settings.
13. Service Availability
The Service is provided on an “as available” basis. We do not guarantee uninterrupted service, error-free operation, or continuous availability. Service may be affected by maintenance, bugs, provider outages, database or hosting issues, internet problems, carrier/email delays, security events, or beta-feature instability.
14. Beta and Experimental Features
Certain features may be in beta or experimental, including AI messaging, automation, provider integrations, analytics, deliverability tools, campaign tools, dashboard stats, webhooks, and APIs. These may change, break, be limited, or be removed at any time.
15. Acceptable Use
You may not use the Service for, or in connection with:
- Spam, fraud, phishing, or malware;
- Harassment, threats, hateful or abusive conduct;
- Illegal activity, deceptive marketing, or impersonation;
- Unauthorized debt collection or sensitive regulated messaging without authorization;
- Sending without consent or circumventing opt-outs;
- Overloading or attacking the platform; or
- Scraping, reverse engineering, or reselling access without permission.
16. Platform Protection Rights
OneSimpleInbox reserves the right, in its discretion, to: suspend accounts; limit sending; block campaigns; suppress contacts; disable integrations; review abuse reports; remove prohibited content; rate-limit usage; restrict API access; terminate accounts; preserve evidence of abuse; and cooperate with legal or provider investigations.
17. Payment, Billing, and Subscriptions
Paid plans, usage-based fees, subscriptions, overage fees, taxes, refunds, cancellations, and billing terms will be disclosed at the time of purchase or plan activation.
Billing Terms: Paid plans bill in advance on a recurring basis for the plan and billing period selected at purchase. You may cancel at any time; cancellation stops future renewals, and your access continues until the end of the current paid service period, after which the service ends.
Refund Policy: All fees are non-refundable. We do not provide refunds, credits, or prorated amounts for partial periods, unused time, downgrades, or cancellations.
18. Data Backups and Exports
You are responsible for maintaining your own copies of critical business data unless otherwise agreed in writing. OneSimpleInbox may offer exports or backups where supported but does not guarantee permanent retention of all data absent a separate written agreement.
19. Intellectual Property and License Restrictions
OneSimpleInbox owns the platform software, brand, design, workflows, documentation, code, architecture, UI/UX, and product concepts. Your access is a limited, non-exclusive, non-transferable, revocable right to use the Service as permitted by these Terms.
Except under a separate written agreement signed by OneSimpleInbox, you may not, and may not permit any third party to: resell, sublicense, rent, lease, redistribute, white-label, or otherwise make the Service available to others; copy, modify, adapt, translate, or create derivative works of the Service or its software; alter, tamper with, or circumvent any part of the software, its licensing, access controls, or technical protection measures; reverse engineer, decompile, or disassemble the Service except to the limited extent that law expressly permits despite this restriction; or use the Service to build, train, or operate a competing product. All rights not expressly granted are reserved by OneSimpleInbox.
20. Feedback
If you submit feedback, suggestions, ideas, bug reports, or feature requests, OneSimpleInbox may use them without restriction or compensation.
21. Confidentiality
You may receive access to non-public platform information, beta features, internal workflows, documentation, or technical details. You agree not to misuse or disclose such confidential information.
22. Privacy
Your use of OneSimpleInbox is also governed by our Privacy Policy.
23. Suspension and Termination
OneSimpleInbox may suspend or terminate access for violations of these Terms, abuse, compliance concerns, non-payment, provider complaints, security risks, illegal activity, harmful conduct, attempts to bypass suppressions, excessive failed-delivery behavior, or risk to platform reputation.
24. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLEINBOX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, DELIVERABILITY, COMPLIANCE OUTCOME, AND BUSINESS RESULTS.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLEINBOX WILL NOT BE LIABLE FOR lost profits, lost revenue, lost data, lost contacts, lost deliverability, message blocking, carrier filtering, email spam placement, A2P rejection, provider suspension, business interruption, compliance penalties caused by your conduct, or any indirect, consequential, or punitive damages.
Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount you paid to OneSimpleInbox in the three (3) months immediately before the event giving rise to the claim, or US$100 if no amount was paid.
26. Indemnification
You agree to defend, indemnify, and hold harmless OneSimpleInbox and its owner, team, contractors, partners, affiliates, and service providers from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your Customer Data, message content, contact lists, campaigns, consent failures, compliance violations, misuse, AI-assisted messages, provider complaints, claims from message recipients, or your violation of these Terms.
27. Governing Law and Disputes
Governing Law: State of Florida, United States
Venue / Jurisdiction: Hillsborough County, Florida
Arbitration / Class-Action Waiver: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Commercial or Consumer Arbitration Rules, with the seat and venue in Hillsborough County, Florida. To the maximum extent permitted by law, you and OneSimpleInbox each waive any right to a jury trial and any right to participate in a class, collective, consolidated, or representative action. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of intellectual property or confidential information.
28. Changes to Terms
OneSimpleInbox may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
